General Meetings: What’s New?

In a context of increasing simplification and digitalization of issuer–shareholder relations, Decree No. 2026 94 of 13 February 2026 significantly updates the rules governing how issuing companies communicate with their shareholders, particularly those whose securities are admitted to trading on a regulated market.
The decree entered into force on 16 February 2026.
Note that the measures regarding default e-notice will apply only to meetings convened as of 1st July 2026.
Key developments to remember:
- Default digitalization of notices for general meetings:
As of 1st of July, issuing companies that choose to do so will be able to send electronic notices to shareholders holding their securities in registered form (“nominatif”) without obtaining their prior consent. Shareholders wishing to continue receiving paper notices must request this 90 days before the publication of the meeting notice.
This change paves the way for faster, smoother and more sustainable processes.

The record date has been moved to five days before the meeting (previously D 2), offering better visibility and enhanced security for meeting related operations. - Strengthened role of the Issuer’s website:
Publishing the preparatory documents for the general meetings (notice brochure and Universal Registration Document) on the company’s website now exempts issuing companies, if they so choose, from sending them to shareholders holding their securities in registered form (“nominatif”).
Making the documents available online aims to improve accessibility and transparency of information.
The issuing company must now indicate the address of its website on the voting forms. - Reduced document retention requirements:
Voting forms submitted by shareholders as part of a general meeting will now be kept for two years, instead of three previously.
